Affiliate Program Terms
Rules for referring shops to Autivo and earning commission.
These Affiliate Program Terms (“Terms”) are an agreement between Autivo (“Autivo,” “we,” “us,” or “our”) and the person or company that participates in the Autivo affiliate program (“you” or “partner”). They apply to every partner, including referral partners, enterprise partners, and shop owners who activate a referral link from the Autivo shop dashboard.
These Terms govern the referral program only. They are separate from the Terms of Service that apply when a shop uses Autivo’s products. If you also subscribe to Autivo, those customer terms still govern that subscription.
If you accept these Terms for a company or other legal entity, you represent that you have authority to bind that entity, and “you” means that entity.
1. Acceptance
You agree to these Terms when you:
- submit an affiliate application;
- activate a referral link from a shop dashboard;
- accept an invite or create a portal password;
- share a referral link or code; or
- keep participating after we post updated Terms or email you a notice of these Terms.
A separate signature is not required. Partners who already have an account agree to these Terms by continuing to promote Autivo after we email or post them.
2. Independent contractor
You are an independent contractor. You are not an employee, agent, joint venturer, or legal partner of Autivo. You have no authority to bind Autivo, set prices, make promises about the product, or change a shop’s customer terms.
You are responsible for your own taxes, insurance, and business expenses. Autivo may require a Form W-9 or similar tax information and may issue a Form 1099 when required. Autivo does not withhold income tax for you and does not provide employee benefits.
3. The program
Autivo may pay a commission when a shop we accept as your referral pays for a subscription. The portal, the shop dashboard, and the rest of the program may change. Autivo does not guarantee that any shop will sign up, stay subscribed, or produce a commission.
4. Commission rates
The rate shown in the affiliate portal or shop dashboard is the current rate. Autivo may change any rate at any time, including the rate on shops already referred, without notice. A rate on a marketing page is an illustration of the rate then in effect. It is not a locked rate.
5. Which referrals qualify
Autivo decides whether a signup qualifies for commission and which partner, if any, receives credit. A cookie, click, link, or code does not by itself guarantee credit. Autivo may refuse, correct, or remove credit, including for mistakes, duplicates, fraud, or a referral that breaks these Terms.
You do not earn commission on your own shop, your employees, members of your household, or accounts created to manufacture a referral, unless Autivo allows that account in writing.
6. When commission accrues
Commission depends on Autivo actually collecting the shop’s payment. A trial, an unpaid invoice, or a subscription that never becomes paid does not earn commission.
Commission that has not yet been paid may be reduced or cancelled if:
- the shop receives a refund;
- there is a chargeback;
- Autivo does not collect the invoice;
- the referral breaks these Terms or is fraudulent; or
- the shop cancels or fails to pay before 30 days of paid service.
Cancelling unpaid commission does not create a debt for amounts Autivo has already paid you.
7. Payouts
You request a payout. Autivo pays manually when it processes the request. The minimum is $50 of approved unpaid commission. Autivo does not promise a payment date. We may ask for tax information before paying, and we may decline a request that does not meet the minimum or these Terms.
8. Ending the program
Either party may end your participation at any time, for any reason. Autivo may also shut down the program. New commissions stop when your participation ends or the program ends.
If Autivo or a successor ends the program or your participation:
- new commissions stop immediately;
- commission already approved and unpaid will be paid, subject to Section 7; and
- pending or unapproved amounts may be voided.
That is the only amount owed when the program or your participation ends.
Autivo may assign these Terms to an affiliate or in connection with a merger, sale of assets, financing, or other change of control. The new owner may discontinue the program at any time under this Section 8. You may not assign these Terms without Autivo’s consent.
9. How you may promote Autivo
You must clearly disclose that you are an Autivo affiliate, in line with the Federal Trade Commission’s endorsement guides, in a way people can notice before they follow your recommendation.
You will not:
- send spam or use purchased contact lists;
- make misleading claims or post fake reviews;
- advertise discounts, guarantees, prices, or features Autivo has not approved;
- buy ads on Autivo brand names, or use domains that imitate Autivo; or
- alter Autivo’s name or logo, or use them except in the form Autivo provides.
10. Non-exclusive
The program is non-exclusive. You may promote other products, including products that compete with Autivo.
11. Confidentiality
Shop details and earnings information in the portal or dashboard are confidential. You may say that you partner with Autivo, and you may share your own referral link and code. You will not publish another shop’s private information or Autivo’s non-public business information.
12. Changes to these Terms
Autivo may update these Terms by posting a new version on this page. The posted version is the current agreement. If you keep using a referral link, code, or portal after we post an update, or after we email you about it, you accept the updated Terms.
13. No guarantee and limitation of liability
The program is provided as-is. Autivo does not guarantee earnings, portal availability, or that a referred shop will remain a customer. To the fullest extent the law allows, Autivo is not liable for lost profits, lost referrals, or consequential, incidental, special, or indirect damages.
Autivo’s total liability arising out of the program or these Terms will not exceed the unpaid commission these Terms require Autivo to pay you. Multiple claims do not enlarge this cap.
14. Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. The state and federal courts located in Florida have exclusive jurisdiction over disputes arising out of or related to these Terms or the program. You consent to personal jurisdiction and venue there.
15. General
- Entire agreement. These Terms are the entire agreement about the affiliate program. The customer Terms of Service and Privacy Policy remain in effect for their own subjects.
- Severability. If a provision is invalid, the rest remains in effect.
- No waiver. A failure to enforce a provision is not a waiver.
- Notices. We may send notices to the email on your affiliate account or shop account, or by posting them in the portal.
- Survival. Sections 6, 7, 8, 11, 13, 14, and 15 survive the end of your participation.
